Investor Suitability

Potential investors (individuals, corporations, trust funds, etc.) may purchase shares of Nation Capital Corp. anytime through Nation Capital Management Corp. ("NCM"), a registered Exempt Market Dealer in British Columbia.

All potential investors are required to complete NCM's Account Opening, Know-Your-Client, and Consent to Electronic Email forms. In addition, potential investors must also review Nation Capital Corp.'s Offering Memorandum and Relationship Disclosure.

Cash Investments

Upon successful account opening with NCM, investors must complete the Share Purchase Agreement and Risk Disclosure forms and deliver funds for the subscribed amount to Nation Capital Corp.

Investors have 2 business days following signing to cancel their investment.

Nation Capital Corp.'s securities counsel will then process the investment and issue a share certificate with a copy sent to the investor, and the original kept in the corporate minute book at the securities counsel's office.

The funds will then be deposited into Nation Capital Corp.'s account.

Registered Accounts

As mentioned above, upon successful account opening with NCM, investors must complete the Share Purchase Agreement and Risk Disclosure forms. However, investors will also be required to open a self-directed account with Olympia Trust Company, the registered plan trustee for Nation Capital Corp. During this process, investors will open a new registered account and transfer funds from an existing one or through pre-authorized debit.

Investors have 2 business days following signing to cancel their investment.

Nation Capital Corp.'s securities counsel will then process the investment and issue a share certificate. A copy of the share certificate will be sent to the investor, while the original will be held by Olympia Trust Company.

The funds will then be transferred from Olympia Trust Company to Nation Capital Corp.

Quarterly Dividends

Investors can elect to receive their quarterly dividends in cash or reinvest them at the end of the year for additional shares (DRIP).

Distribution of cash dividends (cheque) occur on the last day of each quarter (March, June, September, and December).

Example: a $100,000 investment with a dividend rate at 8%, an investor could take $8,000 in cash or reinvest for 8,000 more preferred shares at the end of the year.
